Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 17, 2020, Mark Thierer, a member of the Board of Directors (the "Board") of Xeris Pharmaceuticals, Inc. (the "Company"), announced his intention to resign from the Board. As a result, Mr. Thierer provided notice of his resignation from the Board as a Class II director and all committees thereof, effective December 17, 2020; his resignation was not the result of any disagreement with the Company on any matter relating to its operations, policies or procedures.
